1. Introduction and Scope
By clicking “Accept” or by continuing to use the mobile game Red Panda: RPG ("Game"), you confirm that you have read, understood, and unconditionally accepted this End User License Agreement ("EULA"). If you do not agree to these terms, you must immediately uninstall and cease using the Game. This EULA, together with our Terms of Use and Privacy Policy, constitutes the entire agreement between you and the Company regarding your use of the Game.
2. Legal Status
This EULA is an integral part of the overall agreement governing your use of the Game. By accepting the Terms of Use, you also agree to this EULA.
3. Definitions
- Account: Your personal user account created for accessing the Game.
- Digital Content: In-game items, virtual currencies, and other digital assets available for purchase or provided within the Game.
- User or You: The individual accessing and using the Game.
- Company: developer Lysiak Anhelina operating under the brand 237Mhz Games.
4. Acceptance and General Conditions
By accessing or using the Game, you warrant that you are of legal age as required by your jurisdiction (or have obtained parental consent) and that you possess the legal capacity to enter into this EULA. If you do not agree with any provision of this EULA, you must immediately uninstall the Game.
5. Amendments
The Company reserves the right to modify, suspend, or terminate this EULA at any time. Updated versions will be posted within the Game, and your continued use of the Game constitutes your acceptance of such changes.
6. Grant of License
Subject to your compliance with this EULA, the Company grants you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use the Game for personal, non-commercial purposes only.
7. License Limitations
You agree not to:
- Copy, modify, distribute, or create derivative works based on the Game.
- Reverse engineer, decompile, or disassemble the Game.
- Use cheats, exploits, bots, or other unauthorized third-party software to interfere with the Game.
- Attempt to gain unauthorized access to the Game’s servers or other users’ accounts.
8. Intellectual Property Rights
All intellectual property rights in the Game, including graphics, code, and design, are owned by the Company or its licensors. Portions of the Game's source code and resources may be available under the MIT License, as indicated in the in-game Credits section. You acquire no rights to the Game except for the limited license granted herein.
9. User Materials
Any content you submit or upload within the Game is your sole responsibility. By providing such content, you grant the Company a non-exclusive, royalty-free license to use, modify, and display it for purposes related to the Game. The Company is not obligated to monitor or review user-generated content.
10. Company’s Rights and Enforcement
The Company reserves the right to remove, modify, or block any content or behavior that violates this EULA or harms the community. We may suspend or terminate your Account without prior notice if you engage in fraudulent or abusive behavior. No refunds will be provided for Digital Content upon termination.
11. Digital Content and In-App Purchases
Digital Content provided within the Game is licensed, not sold. All purchases are final and non-refundable. The Company may adjust pricing or remove Digital Content at its discretion; such changes do not entitle you to a refund.
12. User Accounts and Security
You are responsible for maintaining the confidentiality of your Account credentials. The Company is not liable for any unauthorized use of your Account. You must notify us immediately if you suspect any unauthorized access.
13. Dispute Resolution and Governing Law
This EULA shall be governed by and construed in accordance with the laws of Ukraine. Any disputes arising from this EULA shall be resolved in the courts located in Kharkiv, Ukraine. You agree to attempt to resolve any disputes amicably before pursuing legal action.
14. Warranties and Disclaimers
The Game is provided "as is" without any warranties, express or implied. The Company does not guarantee that the Game will be error-free, uninterrupted, or meet your expectations. In no event shall the Company be liable for any damages arising from the use or inability to use the Game.
15. Limitation of Liability
To the fullest extent permitted by law, the Company's total liability for any claims arising out of this EULA or your use of the Game shall not exceed the amount you have paid for the Game or any Digital Content.
16. Miscellaneous
This EULA constitutes the entire agreement between you and the Company regarding the Game. If any provision is found to be unenforceable, the remaining provisions will remain in effect. The failure of the Company to enforce any provision shall not constitute a waiver of its right to enforce such provision in the future.
